TERMS AND CONDITIONS

1. Introduction

By entering an Azuki TCG giveaway (the “Sweepstakes”), each entrant agrees to abide by these Official Rules and the decisions of Azuki Labs, Inc. (“Sponsor”), whose decisions are final and binding in all respects. Sponsor reserves the right, in its sole discretion, to modify, cancel, suspend, or terminate the Sweepstakes for any reason and without prior notice to any entrant.

2. Eligibility

The Sweepstakes is open solely to legal residents of the fifty (50) United States and the District of Columbia, who are 18 years of age or older at the time of entry, except for employees of Sponsor; Sponsor’s affiliates, subsidiaries, and agencies; and members of their immediate family or persons living in the same household as any such employee. All applicable federal, state, and local laws and regulations apply. Void where prohibited or restricted by law. Proof of eligibility may be required prior to award of any prize. Sponsor reserves the right to verify eligibility and disqualify any entrant who does not meet these requirements.

3. How to Enter

Entry via Social Media: Sponsor will publish a giveaway post on its official Instagram account (@azuki) and/or X/Twitter account (@AzukiTCG) or on the social media account of an authorized Azuki team member (each, a “Giveaway Post”) announcing the start and end dates, times, and time zone of the applicable sweepstakes period (the “Sweepstakes Period”). To enter, an eligible entrant must, during the Sweepstakes Period: (i) follow Sponsor’s applicable social media account; (ii) like the Giveaway Post; (iii) share/repost the Giveaway Post; and (iv) leave a comment on the Giveaway Post tagging a minimum of three (3) friends. All actions must be completed to constitute one (1) valid entry.

Entry via Alternative Method of Entry: Alternatively, to enter without any social media actions, email tcg-support@azuki.com with the subject line “Giveaway Entry Request” and include your full name, mailing address, date of birth, and phone number in the body of the email. One (1) entry will be awarded per qualifying email received.

Entries generated by automated means are void. Limit of one (1) entry per person per Sweepstakes Period across all entry methods, regardless of the number of platforms or accounts used to enter, unless otherwise stated. All other Official Rules apply equally to entries received via any method.

4. Winner Selection and Notification

Each winner will be selected by random drawing within one (1) week following the close of the Sweepstakes Period from among all eligible entries received. Odds of winning depend on the number of eligible entries received. Winners will be announced by Sponsor by tagging them in the comments of the applicable Giveaway Post. It is each entrant’s responsibility to monitor their social media account(s) for notification. A potential winner who does not respond within the number of days specified in a particular giveaway, fails to provide a valid shipping address within the number of days specified of being notified, or who is found ineligible, will forfeit the prize and Sponsor may award it to an alternate winner. Prizes will be shipped to valid addresses within the fifty (50) United States and the District of Columbia at Sponsor’s expense.

5. Prizes

Prizes consist only of those items specifically listed and may not be substituted by a winner for any other prize. Each Prize has an approximate retail value as specified in the applicable Giveaway Post. If no approximate retail value is specified in the Giveaway Post, the approximate retail value of each Prize shall not exceed $500. Total value of all Prizes for any single Sweepstakes shall not exceed $5,000. Sponsor reserves the right to substitute a Prize of equal or greater value in its sole discretion. All federal, state, and local income taxes resulting from acceptance of a Prize are the sole responsibility of the winner. Sponsor is not responsible for replacing any Prize if damaged unless such damage is caused solely by Sponsor. Acceptance of a Prize constitutes permission for Sponsor to use the winner’s username and likeness for promotional purposes, including posting on Sponsor’s social media accounts, without further compensation or right of approval, unless prohibited by law.

6. Platform Disclaimer

This Sweepstakes is not sponsored, endorsed, administered by, or associated with any social media platform on which it is promoted (collectively, the “Platforms”). By entering, each entrant releases the Platforms from any and all liability arising out of or in connection with this Sweepstakes. All questions should be directed to Sponsor.

7. Limitation of Liability

IN NO EVENT WILL SPONSOR OR SPONSOR’S PARENT, SUBSIDIARIES, AFFILIATES, LICENSEES, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS (COLLECTIVELY, THE "SPONSOR PARTIES") BE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS) ARISING OUT OF ANY ENTRANT’S PARTICIPATION IN THE SWEEPSTAKES OR ANY ENTRANT’S RECEIPT, USE, OR MISUSE OF A PRIZE, UNDER ANY THEORY, EVEN IF ANY SPONSOR PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SPONSOR PARTIES’ ENTIRE LIABILITY WITH RESPECT TO: ANY ENTRANT’S PARTICIPATION IN THE SWEEPSTAKES, THESE OFFICIAL RULES, AND/OR ANY ENTRANT’S RECEIPT OF A PRIZE SHALL NOT EXCEED $500. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

8. Governing Law and Dispute

Entrant agrees that any disputes arising out of or relating to this Sweepstakes shall be subject to the Governing Law and Dispute Resolution provisions found in Sponsor’s Terms and Conditions, available at https://www.azuki.com/terms-conditions, which are incorporated herein by reference.
