TERMS & CONDITIONS

Introduction

These Azuki TCG Organized Play Terms & Conditions (these “Organized Play Terms”) govern your access to and use of the Azuki TCG organized play platform, including the Azuki TCG application (the “App”), and your participation in any Azuki TCG tournaments, leagues, ranked play, or other competitive events organized, sanctioned, or hosted by or on behalf of Azuki Labs, Inc. (the “Company,” “we,” “us,” or “our”), whether conducted through the App or at in-person venues (collectively, “Events”).

These Organized Play Terms supplement the Azuki.com Terms & Conditions available at azuki.com/terms (the “General Terms”) and the Privacy Policy available at azuki.com/privacy-policy (the “Privacy Policy”), each of which is incorporated herein by reference. In the event of a conflict between these Organized Play Terms and the General Terms, these Organized Play Terms shall control with respect to the App and Events. Capitalized terms used but not defined herein have the meanings given to them in the General Terms.

BY CREATING AN ACCOUNT, ACCESSING THE APP, OR PARTICIPATING IN ANY EVENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE ORGANIZED PLAY TERMS, THE GENERAL TERMS, AND THE PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS THE APP OR PARTICIPATE IN ANY EVENT.

1. Eligibility

To use the App and participate in Events, you must: (a) be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater), unless a specific Event expressly permits participation by minors with verifiable parental or legal guardian consent; (b) have the legal capacity to enter into a binding agreement; (c) not be a person barred from using the App or participating in Events under applicable law, including U.S. export control and sanctions laws; and (d) comply with all applicable laws and regulations.

Employees, officers, and directors of the Company and its affiliates, and their immediate family members, may participate in Events but are not eligible to receive prizes unless the applicable Event rules expressly provide otherwise.

2. Accounts

2.1 Registration

To participate in Events, you must create an account through the App (your “Account”). You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.

2.2 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately at tcg-support@azuki.com of any unauthorized use of your Account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your Account credentials.

2.3 One Account Per Person

Each individual may maintain only one Account. Creating, using, or maintaining multiple Accounts is prohibited. If we determine that you maintain multiple Accounts, we reserve the right to suspend or terminate all such Accounts without notice.

2.4 Account Restrictions

You may not sell, transfer, assign, license, or share your Account or Account credentials with any other person. Any use of your Account by another person, or any attempt to access another person’s Account, is a material violation of these Organized Play Terms.

3. Use of the App

3.1 License

Subject to your compliance with these Organized Play Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the App solely for your personal, non-commercial use in connection with Azuki TCG organized play.

3.2 Prohibited Conduct

In connection with your use of the App, you agree not to, and will not permit any third party to:

  • use the App for any purpose other than its intended purpose of facilitating Azuki TCG organized play;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or data structures of the App;
  • modify, adapt, translate, or create derivative works based on the App;
  • use any automated means, including bots, scripts, scrapers, or similar technology, to access or interact with the App;
  • circumvent, disable, or interfere with any security, access control, or technical protection features of the App;
  • introduce viruses, malware, or other harmful code into the App;
  • use the App to transmit unsolicited communications, spam, or advertising;
  • impersonate any person or entity, or misrepresent your identity or affiliation with any person or entity; or
  • use the App in any manner that violates applicable law or these Organized Play Terms.

3.3 Availability

We do not guarantee that the App will be available at all times or that it will be free from errors, interruptions, or defects. We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice, and without liability to you. We are not responsible for any damage or loss resulting from the unavailability of the App, including any inability to register for or participate in an Event.

3.4 Updates

We may from time to time release updates, patches, or new versions of the App. You agree to install and use the most current version of the App as a condition of continued participation in Events. We may require that you update the App before accessing certain features or registering for Events.

3.5 Device Compatibility

You are solely responsible for obtaining and maintaining a compatible device and internet connection necessary to access and use the App. We make no representations or warranties regarding the App’s compatibility with any particular device, operating system, or browser. You bear all costs associated with your device and internet access.

4. Event Participation

4.1 Event Registration

Certain Events may require advance registration through the App. Registration may be subject to capacity limits, eligibility requirements, entry fees, or other conditions specified in the applicable Event rules. Registration for an Event does not guarantee participation; we reserve the right to limit, restrict, or refuse registration at our sole discretion.

4.2 Entry Fees

Certain Events may require payment of an entry fee as a condition of participation. All entry fees are non-refundable except as expressly provided in the applicable Event rules or as required by applicable law. If an Event is cancelled by us, entry fees for that Event will be refunded to the original payment method.

4.3 Event Rules

Each Event will be governed by the official Azuki TCG game rules and any supplemental Event-specific rules, formats, and guidelines published by us (collectively, the “Event Rules”). Event Rules may be published through the App, on tcg.azuki.com, or communicated at the Event venue. You agree to comply with all applicable Event Rules. In the event of a conflict between these Organized Play Terms and Event Rules specific to a particular Event, the Event-specific rules shall control with respect to that Event.

4.4 Code of Conduct

All participants in Events are expected to conduct themselves in a sportsmanlike, respectful, and fair manner. Without limiting the generality of the foregoing, you agree that you will not:

  • engage in cheating, collusion, match-fixing, or any form of unsportsmanlike conduct;
  • use marked cards, counterfeit cards, unauthorized proxies, or any other means to gain an unfair advantage;
  • intentionally stall, slow-play, or otherwise manipulate the pace of a match to gain a competitive advantage;
  • harass, threaten, intimidate, or use abusive, discriminatory, or offensive language toward any other participant, judge, organizer, or spectator;
  • engage in disruptive behavior that interferes with the orderly conduct of an Event;
  • misrepresent your identity, eligibility, ranking, or any other information in connection with an Event; or
  • violate any applicable law or regulation in connection with your participation in an Event.

4.5 Deck Registration and Validation

Certain Events may require you to submit a deck list prior to or at the start of the Event. Submitted deck lists must comply with the applicable format, card legality, and construction rules specified in the Event Rules. You are solely responsible for ensuring the accuracy and legality of your submitted deck list. We reserve the right to verify deck lists at any time during an Event, and any discrepancy between your submitted deck list and the deck you are using may result in penalties up to and including disqualification.

4.6 Judges and Rulings

Events may be overseen by judges appointed by us or by authorized tournament organizers (each, a “Judge”). Judges are authorized to interpret and enforce the Event Rules and to make rulings on disputes, infractions, and other matters arising during an Event. Rulings made by the head Judge at an Event are final and binding with respect to that Event. Nothing in this Section limits your rights under Section 11 (Governing Law and Dispute Resolution) of these Organized Play Terms with respect to disputes arising under these Organized Play Terms themselves.

5. Ranked Play and Standings

We may offer ranked play, seasonal standings, leaderboards, or similar competitive ranking features through the App (collectively, “Ranked Play”). Rankings and standings are determined based on criteria established by us in our sole discretion and are subject to change without notice. We reserve the right to adjust, reset, or recalculate rankings at any time, including to correct errors or to account for violations of these Organized Play Terms. Placement in Ranked Play does not entitle you to any prize, reward, or benefit unless expressly stated in the applicable Event Rules or Ranked Play rules.

6. Prizes

6.1 Prize Eligibility

Prizes may be awarded at certain Events as specified in the applicable Event Rules. To be eligible to receive a prize, you must: (a) have complied with these Organized Play Terms and all applicable Event Rules; (b) not have been disqualified from the Event; (c) meet all eligibility requirements specified for the Event; and (d) complete any required prize claim documentation, including tax forms, within the timeframe specified by us.

6.2 Prize Description and Fulfillment

Prizes may consist of cash, physical products, promotional items, invitations to future Events, or other items as specified in the applicable Event Rules. All prize descriptions and values are determined by us and are approximate. We reserve the right to substitute a prize of equal or greater value at our sole discretion. Prizes are non-transferable and may not be redeemed for cash (unless the prize itself is a cash prize). Physical prizes will be delivered to the address you provide; we are not responsible for prizes lost, stolen, or damaged after delivery to the carrier.

6.3 Taxes

You are solely responsible for all federal, state, local, and foreign taxes, duties, and assessments applicable to any prizes you receive, including income taxes. For prizes valued at or above the threshold requiring tax reporting under applicable law (currently $600 for U.S. recipients), you may be required to provide a valid taxpayer identification number and complete an IRS Form W-9 (or applicable equivalent) as a condition of receiving the prize. Failure to provide required tax documentation within the timeframe specified by us will result in forfeiture of the prize.

6.4 Forfeiture

A prize will be forfeited if: (a) we determine that the winner violated these Organized Play Terms, the Event Rules, or applicable law in connection with the Event; (b) the winner fails to claim the prize or provide required documentation within the specified timeframe; or (c) the winner is found to be ineligible. Forfeited prizes may, at our sole discretion, be awarded to an alternate winner or retained by us.

7. In-Person Events

7.1 Assumption of Risk

By attending an in-person Event, you voluntarily assume all risks associated with your attendance and participation, including risks of personal injury, property damage, illness, or death. You acknowledge that participation in in-person Events involves inherent risks, including exposure to communicable diseases, and you agree to comply with any health and safety protocols we or the venue may implement.

7.2 Venue Rules

In-person Events may be held at third-party venues. You agree to comply with all rules, policies, and guidelines of the applicable venue, including capacity limits, security requirements, and prohibited items. We are not responsible for the acts or omissions of any venue or its personnel.

7.3 Media Release

By attending an in-person Event, you grant us and our designees an irrevocable, perpetual, worldwide, royalty-free, fully paid-up, non-exclusive license to photograph, film, record, and otherwise capture your name, likeness, voice, image, and statements in any media, and to use, reproduce, distribute, display, and create derivative works of such materials for any purpose, including promotional, marketing, editorial, and commercial purposes, without additional notice, consent, or compensation to you. If you do not wish to be recorded, you must notify us in writing prior to the Event and refrain from entering areas designated for recording or live broadcast.

7.4 Personal Property

You are solely responsible for your personal property, including your Azuki TCG cards and related belongings, at all times during an in-person Event. We are not responsible for any lost, stolen, or damaged personal property.

8. Intellectual Property

All intellectual property rights in and to the App, the Events, the Azuki TCG game, and all related content, including card artwork, characters, designs, logos, trademarks, software, and game mechanics, are exclusively owned by Azuki Labs, Inc. and its licensors. Nothing in these Organized Play Terms transfers any intellectual property rights to you.

You may share screenshots, deck lists, and match results from the App for personal, non-commercial purposes (such as social media posts or community discussion), provided that you do not: (a) misrepresent any affiliation with or endorsement by the Company; (b) use any Company trademarks, logos, or branding in a manner that implies official sponsorship or authorization; or (c) commercially exploit any content from the App without our prior written consent.

9. User Content

If the App permits you to submit, post, or transmit any content, including usernames, profile information, deck names, chat messages, or other user-generated materials (collectively, “User Content”), you represent and warrant that: (a) you own or have the necessary rights to such User Content; and (b) your User Content does not violate any applicable law or the rights of any third party.

You grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and create derivative works of your User Content in connection with the App, Events, and our business operations.

We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content at our sole discretion and without notice. We are not responsible for any User Content submitted by you or any other user of the App.

You agree that your User Content will not: (a) contain any material that is defamatory, obscene, threatening, harassing, discriminatory, or otherwise objectionable; (b) infringe or violate any intellectual property, privacy, or other rights of any third party; (c) contain any viruses, malware, or harmful code; or (d) violate any applicable law or regulation.

10. Suspension, Penalties, and Termination

10.1 Enforcement Actions

If we determine, in our sole discretion, that you have violated these Organized Play Terms, the Event Rules, or applicable law, we may take one or more of the following actions without prior notice:

  • issue a verbal or written warning;
  • impose a game loss, match loss, or other in-Event penalty;
  • disqualify you from an Event, with or without forfeiture of prizes;
  • suspend your Account and your eligibility to participate in Events for a specified period;
  • permanently ban you from all Events and terminate your Account; or
  • pursue any other remedies available under applicable law.

10.2 Effect of Termination

Upon termination or suspension of your Account: (a) your license to use the App will immediately cease; (b) you will lose access to any data, content, rankings, or standings associated with your Account; and (c) any pending Event registrations will be cancelled without refund (unless the suspension is later reversed). Sections of these Organized Play Terms that by their nature should survive termination will survive, including Sections 6.3, 7.1, 7.3, 8, 9, 11, 12, 13, and 14.

10.3 Voluntary Termination

You may terminate your Account at any time through the Account settings in the App or by contacting us at tcg-support@azuki.com. Termination of your Account will not relieve you of any obligations incurred prior to termination.

11. Governing Law and Dispute Resolution

These Organized Play Terms will be governed by the laws of the State of Delaware and the federal laws of the United States of America, without regard to conflict of law principles.

Any dispute, claim, or cause of action arising out of or relating to these Organized Play Terms, the App, or any Event shall be resolved in accordance with the dispute resolution provisions set forth in the General Terms, including the binding arbitration provision and class action waiver contained therein, which are incorporated herein by reference.

For clarity, disputes arising during the course of an Event regarding game play, rule interpretation, or Judge rulings are not subject to arbitration and are governed by Section 4.6 of these Organized Play Terms.

12. Disclaimers and Limitation of Liability

THE APP AND EVENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR IN CONNECTION WITH THESE ORGANIZED PLAY TERMS, YOUR USE OF THE APP, OR YOUR PARTICIPATION IN ANY EVENT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE ORGANIZED PLAY TERMS, THE APP, AND ALL EVENTS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF ENTRY FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

The disclaimers and limitations of liability set forth in the General Terms apply in addition to those set forth in this Section and are incorporated herein by reference.

13. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Company and its affiliates, and their respective directors, officers, employees, representatives, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the App; (b) your participation in any Event; (c) your violation of these Organized Play Terms or any Event Rules; (d) your violation of any applicable law or regulation; or (e) your violation of the rights of any third party.

14. General Provisions

14.1 Modifications

We reserve the right to modify these Organized Play Terms at any time. Material changes will be communicated through the App or by other reasonable means. Your continued use of the App or participation in Events following the posting of modified Organized Play Terms constitutes your acceptance of such modifications. If you do not agree to the modified terms, you must discontinue use of the App and participation in Events.

14.2 Severability

If any provision of these Organized Play Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Organized Play Terms shall not constitute a waiver of such provision or of our right to enforce it in the future.

14.4 Entire Agreement

These Organized Play Terms, together with the General Terms, the Privacy Policy, and any applicable Event Rules, constitute the entire agreement between you and the Company with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

14.5 Assignment

You may not assign or transfer these Organized Play Terms or any rights or obligations hereunder without our prior written consent. We may freely assign these Organized Play Terms without restriction. Any attempted assignment in violation of this Section shall be null and void.
